General Terms and Conditions

This English version is provided for convenience. The contract language is German; in case of doubt, the German version shall prevail.

§ 1 Scope

(1) These Terms and Conditions apply to all orders placed by consumers via the online shop goodwilly.eu with Good Willy EU, owner Zeljko Grujic, Filchnerstraße 10, 81476 Munich, Germany (hereinafter “we”).

(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession (§ 13 German Civil Code, BGB).

(3) Deviating terms of the customer do not apply unless we expressly agree to them.

§ 2 Conclusion of Contract

(1) The presentation of products in the shop does not constitute a legally binding offer, but an invitation to place an order.

(2) By clicking the “Order with obligation to pay” button, the customer submits a binding offer to purchase the goods in the shopping cart. Before submitting, the customer can review and correct their details at any time.

(3) After receipt of the order, the customer receives an automatic order acknowledgement by email. This does not yet constitute acceptance of the offer.

(4) The contract is concluded when we accept the order by separate email or by shipping the goods. For payment methods where payment is triggered directly during the ordering process (e.g. PayPal, credit card), the contract is concluded as soon as the payment process has been completed.

(5) The contract language is German. We store the contract text and send the customer the order details and these Terms and Conditions by email. The Terms and Conditions can also be viewed at any time on goodwilly.eu.

§ 3 Pre-orders

(1) Items marked as “Pre-order” in the shop are not yet in stock. The expected delivery time is stated on the respective product page and is usually about 4–6 weeks.

(2) If a pre-ordered item cannot be delivered because we are not supplied by our supplier despite having placed a timely order, we will inform the customer without delay. The customer may then withdraw from the contract; any payments already made will be refunded without delay.

§ 4 Prices and Shipping Costs

(1) All prices are final prices and include the statutory VAT.

(2) Shipping costs apply in addition; they are shown in the shop under “Shipping & Payment” and during the ordering process.

§ 5 Delivery

(1) We deliver to all member states of the European Union.

(2) The delivery time is stated on the respective product page. Unless stated otherwise there, it is 2–4 business days within Germany and 4–8 business days to other EU countries.

§ 6 Payment

(1) The following payment methods are available in the shop: credit card, Apple Pay and Google Pay (via Shopify Payments) as well as PayPal. The payment methods available in each case are shown during the ordering process.

(2) The purchase price is due upon conclusion of the contract.

§ 7 Retention of Title

The goods remain our property until full payment has been made.

§ 8 Right of Withdrawal

Consumers have a statutory right of withdrawal. Details can be found in the cancellation policy. In addition, we grant a voluntary 30-day return option, which does not limit the statutory right of withdrawal.

§ 9 Warranty

The statutory liability for defects applies. We kindly ask you to report visible transport damage to the delivery agent immediately if possible and to notify us; the customer’s statutory rights remain unaffected.

§ 10 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.

(2) In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely.

(3) Otherwise, liability for slight negligence is excluded.

§ 11 Gift Cards

Gift cards can only be redeemed in the goodwilly.eu shop. Cash payment is excluded. Gift cards are valid for three years from the end of the year of purchase.

§ 12 Applicable Law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.

§ 13 Dispute Resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
